The lawsuit outlines that Inclusion Cos., which organized the wellness-themed festival in 2018 under Kroger’s guidance, was promised a collaborative partnership in promoting health products. Jewel was involved in promoting the event and accepting profits through an ownership stake rather than traditional fees. As the event began to prosper, Kroger allegedly sought to terminate the partnership without notice in 2022, leading to substantial financial losses for both Inclusion and Jewel.

Lawsuit Highlights

Kroger’s defense hinges on the claim that no formal contract existed at the onset of their agreement, which Kroger states entails no binding obligations on its part.

Inclusion has countered, describing the agreement as being validated through informal communications and substantial promotional efforts made by Jewel, including numerous performances and engagements.

Inclusion’s representatives have characterized Kroger’s actions as ‘corporate bullying,’ accusing the chain of leveraging knowledge and resources developed during the partnership for its benefit while leaving Inclusion with over $2 million in losses.

Upcoming Testimony

Former Kroger CEO Rodney McMullen, recently resigned amid an ethics investigation, is scheduled to testify in relation to this case. His input is anticipated to shed further light on Kroger’s internal dealings regarding the festival.
